Terms of Service

The agreement governing your use of Reserva — for business clients who engage our managed service, and for customers who interact with a Reserva-powered assistant.

Acceptance of Terms

By engaging Reserva as a business client, by interacting with a Reserva-powered Facebook Messenger assistant, by responding to a Reserva-dispatched SMS or email, or by visiting reservaph.com, you agree to these Terms of Service. If you do not agree, please discontinue use of the service.

These Terms form a binding agreement between you and Reserva, a sole proprietorship registered with the Philippine Department of Trade and Industry and the Bureau of Internal Revenue, operating in the Republic of the Philippines.

Description of Service

Reserva is a managed AI booking and notification assistant. We configure, deploy, and maintain automated assistants that handle customer inquiries, appointment and booking workflows, scheduled reminders, and multi-channel notifications on behalf of our business clients.

The service is delivered through the following channels and functions:

What Reserva Is Not

Reserva is not a self-service software platform — clients do not configure their own flows or write their own code. Reserva is also not a payment processor — we never hold, route, or settle funds. Payment processing remains with each client's own payment provider (GCash for Business, Maya, PayMongo, Xendit, or bank transfer). Reserva sends payment instructions and receives confirmation webhooks only.

Excluded Use Cases

The following use cases are outside the scope of Reserva's service. Engagements that fall into these categories will be declined at onboarding or terminated if discovered after onboarding:

End User Conduct

If you are an end user — a customer or contact interacting with a business that uses Reserva — these Terms apply to your use as well, alongside the terms of the business you are engaging with.

You may opt out of SMS communications at any time by replying STOP to any Reserva-dispatched message. Opt-outs are processed within 24 hours.

AI-Generated Content & Limitations

Reserva uses large language models to interpret customer messages and generate responses. Business-critical data — availability, pricing, appointment details, RSVP status — is retrieved from a structured database through defined tool functions, not freely generated by the AI. This architecture is designed to minimize the risk of incorrect data being presented to customers.

Acknowledgment for End Users

Before any booking or appointment is committed, the assistant presents a structured confirmation summary for your review. This summary is the authoritative record. If you notice a discrepancy between any earlier conversational message and the confirmation summary, do not proceed — contact the business or Reserva directly to clarify before confirming.

Service Availability

Reserva targets a monthly uptime of 99.5%, excluding planned maintenance windows. Service status is published at status.reserva.ph. Planned maintenance is announced at least 48 hours in advance via email and the status page.

Service may be temporarily unavailable due to scheduled maintenance, emergency security patches, outages at upstream providers (Meta, Anthropic, Semaphore, Railway, MongoDB Atlas), or events outside Reserva's reasonable control. Specific SLA remedies, if any, are defined in each client's individual Service Agreement.

Pilot pricing for the initial client cohort differs from the above and is documented in those clients' individual Service Agreements. Add-on services — including additional SMS volume, additional AI conversation capacity, extra event broadcasts, and custom integrations — are priced per the schedule in effect at the time of order.

Payment Terms

Late Payment

If a monthly retainer is not received within 7 days of the due date, Reserva may automatically pause the service. The assistant will be disabled and incoming messages will not be processed until payment is received and cleared. This clause is also reflected in each client's Service Agreement.

Refunds

Setup fees are non-refundable once configuration work has commenced. Monthly retainers are non-refundable for the current billing period. Cancellation takes effect at the end of the current paid month. Annual prepayments may be refunded on a pro-rata basis for unused whole months, less a reasonable administrative fee, at Reserva's discretion.

Intellectual Property

All software, source code, AI prompts, system templates, dashboards, and operational documentation developed by Reserva remain the exclusive property of Reserva. Clients receive a non-exclusive, non-transferable, revocable license to access and use the service for the duration of their active engagement only.

Client-supplied content — business name, logo, photographs, rate sheets, service descriptions, FAQ content, and attendee data — remains the property of the client. By providing this content, the client grants Reserva a limited, purpose-restricted license to use it solely for operating the service on the client's behalf.

Reserva may use aggregated, anonymized, non-identifying performance data to improve the service. Identifiable client information is never used for this purpose without explicit prior written consent.

Confidentiality

Both parties agree to keep confidential any non-public information disclosed in the course of the engagement. Confidentiality obligations are formalized in a mutual Non-Disclosure Agreement signed at onboarding and survive termination for a period of three years.

Data Protection

Reserva's data handling practices are governed by our Privacy Policy and the Data Sharing Agreement executed by each business client at onboarding. Both documents are incorporated into these Terms by reference.

Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by Philippine law, Reserva disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Reserva does not warrant that the service will be uninterrupted, completely error-free, or secure against all possible threats.

Limitation of Liability

To the maximum extent permitted by Philippine law: Reserva's total aggregate liability arising from or related to the service shall not exceed the total fees paid by the client to Reserva in the three months immediately preceding the event giving rise to the claim. Reserva shall not be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for gross negligence, wilful misconduct, or breach of the Data Privacy Act.

Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, typhoons, pandemic disruptions, acts of government, war, civil unrest, internet or telecommunications outages, power failures, or actions of upstream platform providers.

Suspension and Termination

Termination by the Client

A client may terminate the engagement by providing 30 days written notice to . Termination takes effect at the end of the next paid billing month.

Termination by Reserva

Reserva may suspend or terminate service with notice if the client: fails to pay fees within 30 days of the due date; materially breaches these Terms or the Service Agreement; uses the service in a way that violates law or platform policies; or engages in conduct that creates legal or reputational risk for Reserva or other clients. Reserva may also terminate any engagement on 60 days written notice for any business reason, including discontinuation of a vertical or winding down of the service.

Effect of Termination

Upon termination: client data is exported in JSON and CSV format within 7 business days; all active data is deleted from Reserva systems within 30 days; Page access is revoked and webhook subscriptions deregistered; written confirmation of deletion is sent to the client; and any outstanding fees become immediately due and payable.

Modifications to These Terms

Reserva may update these Terms from time to time. Material changes will be communicated by updating the Effective Date on this page and notifying business clients by email at least 30 days before changes take effect. Continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 60 days, either party may submit the matter to the courts of competent jurisdiction in the Philippines.
